Terms of Service

By accessing or using the Edvex Service — including creating an account, starting a free trial, or purchasing a subscription — you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to that organization.

You must be at least 13 years old to use the Service. Users under 18 must have parental or guardian consent. Users under 13 require verifiable parental consent as described in our Privacy Policy.

Edvex provides an AI-powered test preparation platform designed to help students prepare for standardized exams including the SAT, ACT, GMAT, LSAT, GRE, MCAT, BAR Exam, and AP Exams (“Supported Exams”). The Service includes:

• Diagnostic assessment to identify knowledge gaps
• AI-generated, personalized study plans
• Adaptive practice question engine
• AI tutoring via Ed, our conversational AI assistant
• Full-length practice tests (quantity varies by plan)
• Performance analytics and score prediction
• Study material upload and processing (Elite and Max plans)
• Collaborative study groups (Max plan)
• Guardian progress dashboards

We reserve the right to modify, add, or remove features from the Service at any time. Material changes to plan features will be communicated with at least 30 days' notice.

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the accuracy of your account information and update it as needed
• Keep your password confidential and not share it with anyone
• Notify us immediately at support@getedvex.com of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account
• Not create more than one account per person without our written permission

We reserve the right to suspend or terminate accounts that provide false information, engage in prohibited conduct, or violate these Terms.

The Service is provided for lawful educational purposes only. You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law
• Share your account credentials with others or allow others to use your account
• Attempt to circumvent subscription paywalls, access controls, or DRM
• Scrape, crawl, or use automated means to access or copy the Service or its content
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the AI tutor (Ed) to generate content for purposes unrelated to your own test preparation
• Upload malware, viruses, or harmful code to the platform
• Attempt to probe, scan, or test the vulnerability of Edvex systems
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Engage in academic dishonesty or assist others in doing so using our platform

Violations of this section may result in immediate account termination without refund.

The Service and all content on it — including but not limited to the question bank, study plans, AI-generated explanations, software, design elements, logos, and brand assets — are owned by Edvex, Inc. or licensed to us, and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, Edvex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial test preparation purposes.

You may not:

• Copy, reproduce, distribute, or resell any part of the Service or its content
• Modify, create derivative works from, or commercially exploit any content from the Service
• Remove or alter any copyright, trademark, or other proprietary notices
• Use Edvex's name, logo, or trademarks without written permission

“User Content” refers to any materials you upload to the Service, including study notes, PDFs, documents, and messages sent to the AI tutor. You retain ownership of your User Content.

By uploading User Content, you grant Edvex a limited, non-exclusive, royalty-free license to process, store, and use that content solely for the purpose of providing the Service to you. We do not use your User Content to train our AI models for other users, and we do not share your User Content with third parties except as necessary to operate the Service.

You represent and warrant that:

• You own or have the right to upload the User Content
• Your User Content does not infringe any third-party intellectual property rights
• Your User Content does not contain unlawful, defamatory, or harmful material
• You have the right to grant us the license described above

We reserve the right to remove User Content that violates these Terms or that we believe creates legal risk for Edvex or our users.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDVEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EDVEX DOES NOT WARRANT THAT:

• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE
• YOUR EXAM SCORES WILL IMPROVE BY ANY PARTICULAR AMOUNT
• ANY ERRORS IN THE SERVICE WILL BE CORRECTED

Edvex is an educational tool. Actual exam results depend on many factors including but not limited to the student's baseline proficiency, study consistency, testing conditions, and exam difficulty on the day of the test.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDVEX, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• LOSSES RESULTING FROM YOUR INABILITY TO ACCESS THE SERVICE
• LOSSES RESULTING FROM EXAM RESULTS THAT DID NOT MEET YOUR EXPECTATIONS

ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF EDVEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL EDVEX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO EDVEX IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

You agree to indemnify, defend, and hold harmless Edvex, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• User Content you upload or transmit through the Service

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and deleting your account. Edvex may terminate or suspend your access to the Service immediately, without prior notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your payment fails and cannot be recovered after reasonable attempts
• We are required to do so by law
• We cease to operate the Service

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, and governing law) will survive.

We may update these Terms from time to time. When we make material changes, we will provide notice by email and/or a prominent notice on the platform at least 14 days before the changes take effect. The updated “Last updated” date at the top of this page will reflect revisions.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you disagree with the new Terms, you should stop using the Service and cancel your subscription before the effective date.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Service shall first be submitted to informal negotiation. If the dispute is not resolved within 30 days of written notice, it shall be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent imminent irreparable harm. You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative action.

If you are a consumer in a jurisdiction that does not permit mandatory arbitration, the exclusive jurisdiction for any dispute shall be the state or federal courts located in Wilmington, Delaware.
